2. Professional Services & Scope
Evergreen Strategy provides digital and physical infrastructure migration, custom development, and architectural auditing.

- Governing Agreements: Specific deliverables, intellectual property (IP) transfer terms, and Service Level Agreements (SLAs) are exclusively governed by individualized Master Services Agreements (MSAs) signed by both parties. Nothing on this website constitutes a binding offer for services.
3. Intellectual Property Rights & Architecture Sovereignty
Unless explicitly stated otherwise, Evergreen Strategy owns all IP rights in the website and materials published on it.
The "Architecture Sovereignty" Guarantee:
A core tenet of our business model is the decoupling of clients from predatory vendor lock-in.
- Code Transfer: Upon project completion and final financial settlement as defined in an MSA, all custom code, configurations, and scripts developed for the client's explicit operation will be transferred to the client via GitHub or an equivalent private repository.
- Ownership: Clients retain 100% intellectual property ownership of these custom systems, ensuring total digital autonomy.
4. Operational Access & Project Handover
Because our services involve direct engagement with client ecosystems, the following protocols apply to all technical consultations:
- Authorized Access: Clients voluntarily grant Evergreen Strategy access to internal codebase repositories, cloud infrastructure (e.g., AWS, OCI, Azure), or data for the purpose of the engagement. By granting access, the client authorizes Evergreen Strategy to modify, audit, or migrate these assets as outlined in the project scope.
- Handover & Revocation: Upon formal completion of a project, Evergreen Strategy will perform a structured offboarding. This includes the transfer of all artifacts and a formal request for the client to revoke all access credentials. Once handover is complete, the client assumes full responsibility for the maintenance and security of the infrastructure.
5. Migration & Engineering Standards
For all migration and generation projects, the following standards apply:
- Data Integrity: The Client is responsible for maintaining a verified backup of all production data prior to the start of migration activities.
- Testing & Acceptance: Projects are subject to a User Acceptance Testing (UAT) period. Final "Completion" is achieved once the system meets pre-defined functional requirements and the Client provides sign-off.
- Environment Parity: We strive for parity across development, staging, and production environments using Infrastructure as Code (IaC) to ensure idempotency and reliability.
6. Website Usage & Demonstration Conduct
To maintain the integrity of our platform, you are prohibited from:
- Conducting automated data collection (scraping or mining) on this Site without express written consent.
- Attempting to bypass, probe, or reverse-engineer the security perimeters of our website or any codebase demonstrated during live local or remote sessions (e.g., Zoom walkthroughs).
- Recording or redistributing live technical demonstrations without prior authorization.
7. Portfolios & Third-Party Trademarks
Evergreen Strategy may display client logos and project summaries within our professional portfolio.
- Ownership: All third-party trademarks and logos remain the property of their respective owners.

8. No Warranties & Limitation of Liability
This website and all demonstration materials are provided “as is” without any representations or warranties. Evergreen Strategy will not be liable for any indirect, special, or consequential loss—including business losses, loss of revenue, or loss of data—arising from the use of this website or preliminary project discussions.
9. Governing Law & Jurisdiction
These terms are governed by the laws of the State of Ohio, USA. Any disputes relating to these terms will be subject to the exclusive jurisdiction of the courts of Fairfield County, Ohio.
